Acceptance of these terms
These Terms of Service (“Terms”) are a binding agreement between you (and, if you use AgentTask on behalf of an organization, that organization) and AgentTask LLC, the provider of the AgentTask service (the “Service”). By creating an account, accepting these Terms in the product, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. Please note: AgentTask is in a pre-release phase, and these Terms are a draft that will be reviewed by legal counsel and finalized before general availability — they may change as the product evolves. If you do not agree, do not use the Service.
The Service
AgentTask is a cloud-based platform where human teams and AI agents share one backlog — tasks, plans, agent runs, and audit trails in a multi-tenant system of record — along with a developer API and MCP endpoint. We may add, change, or remove features, and during pre-release the Service may change frequently.
Accounts & responsibilities
You must provide accurate account information and keep your credentials secure. You are responsible for all activity that occurs under your account and, if you administer an organization, for the members you invite and the roles and permissions you assign. Notify us promptly of any unauthorized use of your account.
Acceptable use
You agree to use the Service only for lawful, authorized business purposes and to comply with your organization’s policies and applicable law. You may not misuse the Service — including by attempting to breach security or access data that is not yours, reverse engineering or copying the Service except as permitted by law, interfering with or overloading the Service, using it to store or transmit unlawful, infringing, or malicious content, or exceeding the limits of your plan through abusive automation.
Agents, API keys & automated access
The Service lets you authorize AI agents, integrations, and API keys to act on your behalf. You are responsible for the actions taken by any agent, key, or integration you authorize, for keeping API keys and tokens confidential, and for the instructions you give automated tools. Automated access must stay within your plan’s limits and these Terms.
Your content
You retain all rights to the content you and your organization submit to the Service (“Your Content”). You grant AgentTask a limited license to host, process, transmit, and display Your Content solely to operate and provide the Service to you, including running the AI-assisted and agent features you invoke. You are responsible for the accuracy, legality, and appropriateness of Your Content and for having the rights to submit it.
Plans, billing & fees
Paid plans are billed in advance on a recurring basis according to the plan you select. Fees are non-refundable except where required by law or expressly stated. You authorize us and our payment processor to charge your payment method for applicable fees and taxes. If a payment fails or your plan lapses, we may suspend or downgrade paid features. We may change pricing on a prospective basis with notice.
Availability & changes
During pre-release the Service is provided on an as-is and as-available basis, and features, limits, and availability may change without notice. We aim for high availability but do not guarantee uninterrupted or error-free operation.
Intellectual property
The Service, including its software, design, and content we provide (excluding Your Content), is owned by AgentTask LLC and its licensors and is protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights. Feedback you give us about the Service may be used by us without restriction or obligation to you.
Term & termination
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you materially breach these Terms, if required for security or legal reasons, or if we discontinue the Service. On termination, your right to use the Service ends; we will make Your Content available for export for a reasonable period where feasible, after which it may be deleted in the ordinary course.
Disclaimers & limitation of liability
To the fullest extent permitted by law, the Service is provided “as is” without warranties of any kind, and AgentTask disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. To the fullest extent permitted by law, AgentTask will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, and our total liability for any claim relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the claim (or, if you are on a free plan, one hundred U.S. dollars).
Indemnification
You agree to defend and indemnify AgentTask against claims, damages, and costs arising from Your Content, your use of the Service in violation of these Terms or applicable law, or the actions of agents, keys, or integrations you authorize.
Governing law & disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The courts located in Delaware will have jurisdiction over disputes arising from these Terms, except where applicable law grants you the right to bring claims elsewhere. (Final venue and dispute-resolution terms are subject to legal review before general availability.)
Changes to these terms
We may update these Terms from time to time. When we make material changes we will update the “last updated” date above and may ask you to re-accept the Terms in the product or notify you by email. Your continued use of the Service after an update means you accept the revised Terms.
